Starting and LLC in Florida

First, file your Articles of Organization at Sunbiz.org (https://dos.fl.gov/sunbiz/start-business/efile/fl-llc/)

  • You'll enter yourself as the Registered Agent.

    • List members/managers.

  • You must use a physical address.

  • For managers or authorized to file on your behalf, you will put yourself and Amber if you want her the ability. This has nothing to do with ownership of the company.

  • Make sure you pay for any/all certified copies, you'll need this for the bank account

  • It will take a couple of days and you'll receive a confirmation.

In the meantime, you can request a Federal Tax ID: https://www.irs.gov/businesses/small-businesses-self-employed/apply-for-an-employer-identification-number-ein-online

  • Identify as a single member LLC OR a multi (more than one)

  • This will process almost immediately.

  • There is no cost.

After a week, you'll receive a copy of your Articles of Organization. You will need this, as well as create an Operating Agreement to open a business account.

Other things you'll need to know:

  • Annual reports are due between January 1st to May 1st.

  • If you are late, then it's a $400 fine to reinstate (so don't be late).

  • For multi-member LLCs, business taxes are due ~March 15th if your fiscal year is the same as the calendar year.

  • If you plan on selling stuff, like water tablets or something, you'll need to pay Sales Tax either monthly or quarterly (you may be able to do a different period, I'm not sure).
